This Terms of Service (this "Agreement") contains the terms and conditions that govern your access to and use of the HostFront LLC infrastructure platform (the "Service") and is an agreement between you ("you" or "your") and HostFront LLC ("HostFront," "we," "us," or "our"). The acceptance of this Agreement is required before you can create a HostFront account.
Subject to the terms of this Agreement, HostFront grants you and your Authorized Users, for your internal business purposes, a non-exclusive, non-transferable, non-sublicensable right to access and use the Service in accordance with the Documentation.
(a) You must register an account ("Customer Account") in order to use the Service. We will use your account information in accordance with the Privacy Policy.
(b) Unless explicitly permitted, you will only create one Customer Account per email address. You agree to provide accurate and complete information and to keep it updated. You may authorize others ("Authorized Users") to use the Service on your behalf.
(c) You and your Authorized Users are responsible for keeping User Credentials confidential. You are fully responsible for all activity that occurs under your Customer Account. HostFront is not responsible for unauthorized access to your Customer Account.
(d) Public website signup requests are expressions of interest only. Submitting the website signup form does not create a Customer Account, User Credentials, portal access, or an order for Service unless HostFront separately confirms provisioning terms with you.
Third-party content made available through the Service may be used at your option and is governed by separate terms accompanying such content.
To provide billing and administration services, or to investigate fraud or abuse, we may process usage data related to your Customer Account, such as resource identifiers, metadata, usage statistics, and analytics.
"Your Content" means content that you or any Authorized User transfers to us for storage or hosting in connection with your Customer Account. You will ensure that Your Content will not violate any terms of this Agreement or any applicable law. You are solely responsible for the development, content, operation, maintenance, and use of Your Content.
We may change or discontinue any or all of the Service from time to time. We will notify you of any material change by posting the revised version on our website. Changes will be effective thirty (30) days from posting. Your continued use constitutes acceptance of the changed Service.
During the term, HostFront will provide you with reasonable support via our ticketing system in accordance with our then-current service level agreement. We will use commercially reasonable efforts to schedule maintenance during non-peak usage hours.
The public support form sends an internal support notification. It does not by itself create a ticket identifier, account portal record, or escalation workflow unless HostFront separately confirms those support processes for your account.
We will implement reasonable and appropriate measures designed to help you secure Your Content against accidental or unlawful loss, access, or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat our safeguards. You provide Your Content to us at your own risk and are responsible for appropriately securing and backing up your data.
You may specify the regions in which Your Content will be stored. You consent to the storage and transfer of Your Content into the regions you select. When choosing regions outside of the European Union, you acknowledge responsibility for understanding applicable data transfer laws.
We will not access or use Your Content except as necessary to maintain or provide the Service, or as necessary to comply with applicable laws or governmental orders.
You grant to HostFront a worldwide, non-exclusive, royalty-free right to use and store Your Content for the purpose of performing this Agreement and improving the Service. You retain all rights to Your Content. Your Content will be irretrievably deleted upon your deletion of it or cancellation of your Customer Account.
You shall not, and shall ensure your Authorized Users do not: (i) access or use the Service for any purpose other than expressly permitted; (ii) create derivative works of the Service; (iii) reverse engineer any part of the Service; (iv) circumvent usage limits or quotas; (v) use the Service to build a competitive application; or (vi) remove any disabling mechanisms or technical protections.
Fees for the Service will be calculated and billed based on the service selected by you, as set forth in the HostFront pricing documentation or quotation provided to you. We may increase or add new fees for any existing Service by giving you at least thirty (30) days' prior notice.
All fees payable by you are exclusive of any taxes and duties, including VAT, GST, excise taxes, and sales taxes, which are your responsibility. We will charge and you will pay such applicable taxes.
Your payment method will be automatically charged usage fees during such periods as you have an active Customer Account and use the Service, unless you cancel your Customer Account.
The software, code, hardware, trademarks, and proprietary methods used to provide the Service are owned by or licensed to HostFront, including all intellectual property rights therein. Nothing in this Agreement shall be considered a transfer of ownership of any HostFront technology to you.
Either party may deliver to the other certain non-public information ("Confidential Information"). During the term and for three (3) years after termination, each party will not disclose the other's Confidential Information except as required by law or to representatives who have a need to know and are bound by equivalent confidentiality obligations.
Your access to the Service will continue for so long as you have an active and fully paid Customer Account.
Either party may terminate this Agreement for any reason by providing the other party at least thirty (30) days' advance notice. Either party may terminate for cause if the other party is in material breach that remains uncured for thirty (30) days after notice. HostFront may also terminate immediately if required to comply with law.
We may suspend your access immediately if your use poses a security risk, could adversely impact our systems or other customers, could subject us to liability, or if you are in material breach of payment obligations or have ceased to operate in the ordinary course of business.
You will defend, indemnify, and hold harmless HostFront and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to: (a) your or any Authorized Users' use of the Service; (b) violation of applicable law by you, your Authorized Users, or Your Content; or (c) any claim alleging that Your Content infringes a third party's intellectual property rights.
THE SERVICE IS PROVIDED "AS IS." HOSTFRONT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HOSTFRONT DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
IN NO EVENT WILL HOSTFRONT LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF HOSTFRONT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HOSTFRONT'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This Agreement will be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming.
